End User License Agreement

This End User License Agreement ("EULA") is a binding agreement between you (the licensee, on behalf of the healthcare practice or entity you represent — "you" or "Licensee") and Telio, LLC, a Pennsylvania limited liability company ("Telio"), governing your access to and use of the Sondaggio platform and associated software (the "Software").
This EULA is incorporated into, and should be read together with, the Sondaggio Terms of Service and Privacy Policy. If a conflict exists between this EULA and the Terms of Service regarding the license to use the Software, this EULA controls. Capitalized terms not defined here have the meanings given in the Terms of Service.
1. Grant of license
Subject to your continuous compliance with this EULA, the Terms of Service, and the Privacy Policy, and conditioned on timely payment of all applicable subscription fees, Telio grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software during the term of your subscription, solely as a hosted service made available at sondagg.io. The Software is licensed, not sold. No title or ownership rights are transferred.
2. Scope of permitted use
You may use the Software only:
- for your internal business use as a licensed healthcare practice (or as an agent authorized by one);
- through Authorized Users, meaning your employees and contractors who are bound by confidentiality obligations consistent with this EULA and who access the Software via their own credentials;
- in the manner described in our documentation and within the limits of your subscription plan; and
- in compliance with all applicable laws and the terms of any third-party platform you connect to the Software.
Each Authorized User must have a unique account. You are responsible for the acts and omissions of your Authorized Users as if they were your own.
3. Restrictions
You will not, and will not permit any Authorized User or third party to:
- copy, modify, translate, or create derivative works of the Software;
- reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, object code, or underlying ideas, file formats, or non-public APIs of the Software, except to the extent such activity is expressly permitted by applicable law notwithstanding this limitation;
- scrape, crawl, or otherwise systematically extract data from the Software, except via an API that Telio has expressly provided and within its documented rate limits;
- access the Software in order to build a competing product or service, or to copy its features, user interface, or "look and feel";
- conduct competitive benchmarking, performance testing, or vulnerability research and publish or redistribute the results without Telio's prior written consent;
- use automated means (bots, headless browsers, scripts) to interact with the Software except through an API expressly provided by Telio;
- sell, lease, sublicense, distribute, time-share, or otherwise make the Software available to any third party;
- remove, alter, or obscure any copyright, trademark, or other proprietary notices in the Software;
- use the Software to develop, train, or fine-tune any machine learning model that competes with Sondaggio; or
- circumvent or attempt to circumvent any access control, rate limit, or security mechanism.
4. Updates and modifications
Telio is continuously developing the Software. Telio may, at any time and at its sole discretion, update, modify, enhance, redesign, or remove features of the Software. Updates and bug fixes are included in your subscription and are made available through the hosted Service without separate charge. Telio is not obligated to maintain, support, or continue any particular feature, integration, or capability, and may discontinue features on reasonable notice. Telio will use commercially reasonable efforts to provide advance notice of changes that materially reduce core functionality available on your plan.
5. Ownership
Telio's intellectual property. Telio and its licensors retain all right, title, and interest in and to the Software, including all source code, object code, designs, user interfaces, documentation, trademarks, service marks, logos, and all associated patents, copyrights, trade secrets, and other intellectual property rights. All rights not expressly granted to you in this EULA are reserved by Telio.
Your data. As between the parties, you retain all rights in the survey questions you create, the configurations you make, and the Patient response data collected through your account (collectively, "Customer Data"). You grant Telio a limited license to host, process, transmit, and display Customer Data solely to provide the Service and as further described in the Terms of Service and Privacy Policy.
6. Data portability
At any time during an active subscription, an authorized administrator may export Customer Data through the dashboard in CSV or JSON format. Exports include survey responses, time stamps, location metadata, and reputation-module data the Operator has connected. Telio will use commercially reasonable efforts to make the export available promptly, but does not guarantee real-time export of very large datasets without coordination. After termination, exports remain available for 30 days as described in the Terms of Service.
7. Feedback
If you (or any Authorized User) provide Telio with suggestions, ideas, enhancement requests, recommendations, bug reports, or other feedback regarding the Software ("Feedback"), you grant Telio a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, reproduce, modify, and exploit that Feedback for any purpose, without obligation, attribution, or compensation. You waive any moral rights you may have in Feedback to the maximum extent permitted by law.
8. Interoperability and third-party platforms
The Software may integrate with third-party services, including SMS providers, payment processors, hosting infrastructure, email providers, and review platforms (such as Google and Yelp). Your use of any integrated third-party service is also governed by that provider's own terms and privacy practices. Telio is not responsible for the availability, accuracy, content, security, or any change in terms of third-party services, and may modify, suspend, or remove an integration if a third-party provider's API, policies, pricing, or availability changes.
9. Open source components
The Software incorporates open source software components. Those components are licensed under their respective open source licenses, which take precedence over this EULA with respect to those components only. A list of material open source components, together with their applicable license texts and any required notices, is available on request from [email protected].
10. Termination of license
This license is effective until terminated. It terminates automatically, without notice, if you cancel your subscription, if your plan expires, if your account is terminated under the Terms of Service, or if you breach a material term of this EULA. Upon termination:
- your right to access the Software ends immediately;
- you must cease all use of the Software and destroy any related materials in your possession;
- Customer Data export remains available for 30 days post-termination, after which Customer Data is deleted on the schedule described in the Privacy Policy; and
- Sections that by their nature should survive (including ownership, restrictions, feedback license, disclaimers, limitations, and governing law) survive termination.
11. Disclaimer of warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, TELIO DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, AND STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. TELIO DOES NOT WARRANT THAT THE SOFTWARE IS FIT FOR ANY CLINICAL OR DIAGNOSTIC PURPOSE; THE SOFTWARE IS AN ADMINISTRATIVE FEEDBACK TOOL, NOT A MEDICAL DEVICE, AND MUST NOT BE USED TO MAKE CLINICAL DECISIONS. TELIO DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, OPERATE UNINTERRUPTED, OR BE ERROR-FREE OR SECURE.
12. Limitation of liability
The limitations of liability and damages caps set out in the Sondaggio Terms of Service apply equally to this EULA and are incorporated here by reference. In no event will Telio be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or related to the Software or this EULA.
13. Compliance with law and export
You will use the Software only in compliance with all applicable U.S. federal, state, and local laws, including healthcare, telecommunications (including TCPA and CTIA principles), consumer-protection, and data-protection laws. You will not export, re-export, or transfer the Software in violation of U.S. export control or sanctions laws, and you represent that you are not located in a country subject to a U.S. government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. government list of prohibited or restricted parties.
14. Governing law
This EULA is governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws principles. The dispute-resolution provisions in the Sondaggio Terms of Service apply to disputes arising under this EULA.
15. Entire agreement
This EULA, together with the Sondaggio Terms of Service, the Privacy Policy, and any order form executed between you and Telio, constitutes the entire agreement between you and Telio with respect to the Software, and supersedes all prior or contemporaneous understandings, whether written or oral. If any provision is held unenforceable, the remaining provisions remain in effect. Telio's failure to enforce any right is not a waiver.
